Terms of service

These terms govern your use of nuvina.systems (the "Site") and any text messages you receive from Nuvina Systems, LLC ("Nuvina," "we," "us"). If you are a client with a signed Scope of Work, that agreement controls the engagement and these terms cover only the Site and messaging. Where the two conflict, the signed agreement wins.

What we do

Nuvina builds and operates lead-response systems for independent used-car dealerships. Engagements are defined in a separate written Scope of Work that sets the price, the timeline, what is delivered, and what is not. Nothing on the Site is an offer, a quote, or a guarantee of results.

Using the Site

You may read the Site, contact us, and book a call. You may not scrape it, probe it for vulnerabilities, misrepresent who you are, or use it to send anything unlawful. We may change or withdraw any part of the Site at any time.

SMS & Messaging Communications

Nuvina Systems, LLC may collect and use phone numbers to send SMS and MMS messages. These fall into two kinds, and they are consented to separately:

• Non-marketing messages — call and appointment confirmations, appointment reminders, scheduling notifications, project and account updates during an active engagement, and replies to questions you send us.
• Marketing messages — special offers and promotional communications.

Agreeing to one is not agreeing to the other. You may consent to non-marketing messages without ever receiving a promotional one, and we will not treat consent to appointment reminders as permission to send you an offer. Each is a separate checkbox, unticked by default.

By providing your phone number and opting in through our website or another authorized channel, you expressly consent to receive recurring text messages of the kind or kinds you selected, from or on behalf of Nuvina Systems, LLC.

Message frequency may vary. Consent to receive SMS messages is not a condition of purchase or of any service we provide. Message and data rates may apply depending on your wireless carrier. Wireless carriers are not liable for delayed or undelivered messages.

You may opt out of SMS communications at any time by replying STOP to any message. For assistance, reply HELP or contact us at hello@nuvina.systems. Opt-out requests are honored immediately, though you may continue to receive legally required or transactional messages where applicable. Opting out of texts does not affect your engagement, your email, or your phone calls.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing to subcontractors in support services, such as customer service and the messaging provider that delivers the message on our behalf, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

If you are a client: your responsibilities

The systems we build send messages to your customers, from your account, under your brand. That makes some obligations yours and they cannot be delegated to us:

• Consent. You are solely responsible for obtaining and keeping records of consent from every person your system messages.
• Compliance. You are solely responsible for compliance with the Telephone Consumer Protection Act, the CAN-SPAM Act, and any other law governing your communications with your customers. Nuvina assumes no liability for violations.
• Carrier registration. You register your own A2P 10DLC brand and campaign, pay those fees, and own that timeline. US carriers block unregistered traffic entirely, so your system cannot send text messages until your registration is approved.
• Accuracy. You are responsible for the inventory, pricing, and business information the system relies on.

What we build, and who owns what

You own your data. Your leads, your contacts, your conversation history, and your CRM account are yours, during the engagement and after it ends. Your access to your own data never depends on your relationship with Nuvina continuing.

We retain our system. The underlying templates, workflows, prompts, integrations, and methodology are Nuvina's property and remain so. Your engagement grants you a licence to use the system deployed for you, for as long as your Managed Operation is active.

Where a signed Scope of Work says something different about ownership, that agreement controls for that engagement.

No warranty on outcomes

We warrant our work against defects as stated in your Scope of Work. We do not warrant results. Nuvina makes no representation about lead volume, response rates, appointment rates, conversion, sales, or return on investment. These systems respond to leads faster than a person can; what a buyer does next is not within our control.

The systems use automated and AI-generated responses. They can produce output that is wrong, incomplete, or inappropriate for a given conversation. Review matters, and a human should remain reachable in every flow.

Limitation of liability

To the fullest extent the law allows, Nuvina is not liable for indirect, incidental, special, or consequential damages, or for lost profits or lost business. Our total liability for any claim arising out of the Site or an engagement will not exceed the fees you paid us in the twelve months before the claim.

Confidentiality

Each of us will protect the other's non-public business information and use it only for the engagement. This survives the end of the engagement.

Ending things

You may stop using the Site at any time. Engagements end as described in the Scope of Work. We may suspend access to the Site for anyone who breaks these terms.

Governing law

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Disputes are resolved in the state or federal courts located in Orange County, Florida.

Changes to these terms

We may update these terms. The effective date above reflects the most recent revision. Continued use of the Site after a change means you accept it.
